TERMS OF SERVICE

> If you do not agree, do not use the Service.
01 // ACCEPTANCE OF TERMS
These Terms of Service ("Terms") govern your use of the Etoee messaging platform, including the website at etoee.app, desktop applications, mobile applications, and all related services (collectively, the "Service"), operated by Etoee ("we," "us," "our").
By creating an account, purchasing an access code, or using the Service in any way, you agree to be bound by these Terms, our Privacy Policy, and the Acceptable Use Policy in Section 06.
02 // ELIGIBILITY
You must be at least 18 years of age to use the Service. By registering, you affirm that you are 18 or older. If we have reason to believe you are under 18, we will terminate your account without notice.
You must not be prohibited from using the Service under the laws of your jurisdiction.
03 // ACCOUNTS & ACCESS CODES
> Access codes
Registration requires a valid access code purchased through our storefront. Access codes are single-use, non-transferable, and valid for 30 days from issuance. Unused expired codes are not refundable.
> Account creation
During registration, your device generates cryptographic keys locally. You choose a handle (username) that serves as your public identifier on the network. Handles are unique, permanent, and cannot be changed after registration.
> Account security
You are responsible for maintaining the security of your device, passkey, and recovery phrase. We cannot recover your account if you lose your passkey and recovery phrase. We cannot reset passwords because passwords do not exist — authentication is passkey-only.
> One account per person
Each access code grants one identity on the network. Purchasing access codes in bulk to create multiple accounts, or circumventing purchase rate limits, is prohibited.
04 // THE SERVICE
Etoee provides end-to-end encrypted messaging, group communication, voice and video calls, and file sharing. All content is encrypted on your device before transmission. We cannot access, moderate, or recover the content of your communications.
> Availability
We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control.
> Changes
We may modify, update, or discontinue features of the Service at any time. Material changes will be communicated through the Service or on our website.
> Encrypted content
Because all user content is end-to-end encrypted, we cannot recover deleted messages, restore lost files, or provide copies of your communications. Your recovery phrase is the only mechanism to restore your cryptographic identity on a new device.
05 // PAYMENTS & REFUNDS
Access code purchases are processed by Paddle.com Market Limited, acting as our Merchant of Record. By purchasing an access code, you also agree to Paddle's terms of service.
> Pricing
Access codes have a minimum price of $5.00 USD. You may choose to pay more to support ongoing development.
> Refunds
Access codes that have not been redeemed may be eligible for a refund within 14 days of purchase, subject to Paddle's refund policy. Once an access code has been used to register an account, it is non-refundable.
> Rate limiting
To prevent abuse, purchases are rate-limited per payment method. If a purchase exceeds the rate limit, the payment is automatically refunded.
06 // ACCEPTABLE USE POLICY
While we cannot access or monitor encrypted content, the following uses of the Service are prohibited. Violations reported through our reporting system may result in account suspension or termination.
> Strictly prohibited
- CSAM — Any child sexual abuse material. We report all apparent CSAM to the National Center for Missing and Exploited Children (NCMEC) CyberTipline as required by law.
- NCII — Non-consensual intimate imagery (revenge pornography)
- Terrorism — Content that promotes, supports, or incites terrorism or violent extremism
- Trafficking — Human trafficking, forced labor, or sexual exploitation
- Threats of violence — Credible, specific threats of physical violence against individuals
> Also prohibited
- Harassment — Targeted harassment, bullying, doxxing, or coordinated abuse of other users
- Spam — Unsolicited bulk messaging, commercial solicitation, or automated abuse
- Impersonation — Creating accounts to impersonate other individuals or organizations
- Platform abuse — Attempting to compromise the Service's infrastructure, exploit vulnerabilities without authorization, or interfere with other users' access
- Circumvention — Evading account terminations by creating new accounts, or circumventing access code rate limits
> Enforcement
Because Etoee uses end-to-end encryption, we rely on user reports for enforcement. When we receive a report and determine that a violation has occurred (based on available evidence), we may issue a warning, suspend the account temporarily, or permanently terminate the account. For critical violations (CSAM, NCII), we will also file mandatory reports with the appropriate authorities.
Due to our zero-knowledge architecture, enforcement is limited to account-level actions. We cannot selectively remove or moderate individual messages.
07 // ACCOUNT TERMINATION
> By you
You may stop using the Service at any time. Account deletion can be initiated through the application settings. Upon deletion, your public keys and prekeys are removed from the server. Your handle is held for 90 days to prevent impersonation, then released.
> By us
We may terminate your account if you violate these Terms or the Acceptable Use Policy. In cases of termination for critical violations (CSAM, NCII, terrorism), we may also revoke any access codes associated with your account and preserve metadata for law enforcement cooperation.
Upon termination, your public keys are deleted, encrypted messages in your mailbox are purged, and your handle is held for 90 days.
08 // INTELLECTUAL PROPERTY
The Etoee name, logo, and Service design are our property. The underlying messaging protocols and client code may be released under open-source licenses — see our source repository for details.
You retain ownership of all content you create and share through the Service. We claim no rights to your messages, files, or other content (which we cannot access in any case).
09 // DISCLAIMERS
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure. While we employ strong encryption and security practices, no system is perfectly secure.
We are not responsible for the actions, content, or conduct of other users on the Service.
10 // LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETOEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use of or inability to use the Service
- Loss of your recovery phrase, passkey, or cryptographic keys
- Unauthorized access to your device or account
- Actions or content of other users
- Any interruption, suspension, or termination of the Service
OUR TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR ACCESS CODE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
11 // DISPUTE RESOLUTION
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, with the arbitration conducted in English.
You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.
12 // CHANGES TO THESE TERMS
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date and, where feasible, communicated through the Service. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
If you do not agree to the revised Terms, you should stop using the Service.
